Terms of Service

1. Acceptance of Terms & Eligibility

By creating an account, accessing, or subscribing to Sharps Edge AI ("Sharps Edge," "we," "us," or "the Service"), you agree to be legally bound by these Terms of Service and our Privacy Policy. You represent that you are at least 21 years of age, that you reside in the United States, and that the information you provide when registering is accurate. You are responsible for keeping your login credentials confidential and for all activity under your account. If you do not agree to these Terms, do not use the Service.

2. Informational Purposes Only — No Advice, No Guarantees

Sharps Edge is a sports statistics, research, and mathematical modeling tool provided for informational and entertainment purposes. Nothing on the Service constitutes financial, investment, legal, tax, or wagering advice, or a solicitation to place any wager. We do not guarantee positive returns, profitable outcomes, or any specific win percentage. Past model performance does not predict future results. Projections, edges, confidence labels, and other outputs are estimates that may be wrong.

Portions of the Service are generated by artificial intelligence and rely on third-party data (such as scores, odds, injury reports, and weather) that may be delayed, incomplete, or inaccurate. You should independently verify any information before relying on it. You are solely responsible for any decisions or wagers you make with third-party sportsbooks and for ensuring that sports wagering is legal where you are located.

3. Subscriptions, Automatic Renewal & Cancellation

Paid plans (Basic at $4.99/month and Pro at $11.99/month, plus applicable taxes) are billed in advance and automatically renew every month until you cancel. By subscribing, you authorize Stripe, our payment processor, to charge your payment method each month.

You may cancel online at any time by selecting "Customer Billing Portal" from your account menu, or by emailing billing@sharpsedge.win. Cancellation takes effect at the end of the current billing period, and you keep access until then. If we change subscription prices, we will notify you by email at least 30 days before the change applies to you, and you may cancel before it takes effect. Refunds are governed by our Refunds & Billing policy.

4. Acceptable Use

You agree not to:

• Share, sell, or transfer your account or login credentials to others;
• Copy, resell, republish, or redistribute picks, reports, or other Service content for commercial purposes;
• Scrape, crawl, or use automated tools to access the Service, or attempt to reverse engineer it;
• Interfere with the security or operation of the Service, or attempt to access accounts or data that are not yours;
• Use the Service for any unlawful purpose, including where sports wagering is prohibited.

5. Intellectual Property & Trademark Non-Affiliation

The Service, including its software, models, design, and generated analysis, is owned by Sharps Edge and protected by intellectual property laws. We grant you a limited, personal, non-transferable license to use the Service for your own non-commercial use while your account is in good standing.

All league, team, network, and sportsbook names and logos (including NFL, NBA, MLB, NHL, NCAA, ESPN, DraftKings, and FanDuel) are trademarks of their respective owners and are used only to identify games and data. Sharps Edge is not affiliated with, endorsed by, or sponsored by any league, team, network, or sportsbook.

6. Suspension & Termination

We may suspend or terminate your access if you violate these Terms, misuse the Service, or if required by law. You may stop using the Service and request deletion of your account at any time. Sections that by their nature should survive termination (including Sections 2, 5, 7, 8, 9, and 11) will survive.

7. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHARPS EDGE AND ITS OWNERS AND OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY WAGERING LOSSES, LOST PROFITS, OR LOST DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS ($50).

8. Indemnification

You agree to indemnify and hold harmless Sharps Edge and its owners and operators from claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

9. Dispute Resolution, Binding Individual Arbitration & Class-Action Waiver

Informal resolution first. Before starting any formal proceeding, you agree to email support@sharpsedge.win with a description of your claim, and we will try in good faith to resolve it within 30 days.

Arbitration. PLEASE READ CAREFULLY. If a dispute is not resolved informally, it will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. This agreement is governed by the Federal Arbitration Act.

Class-action waiver. YOU AND SHARPS EDGE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@sharpsedge.win with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms.

10. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and notify you of material changes. Continued use after the effective date means you accept the updated Terms.
